Welcome to the Students’ Consulting Club at theUniversity of St. Gallen (“Consulting Club,” “we,” “us,” or “our”). These Termsof Service (“Terms”) govern your use of our website, membership benefits, eventregistrations, and any related services we offer (collectively, the“Services”). Please read them carefully before you:
· Register for or renew a Membership
· Purchase or use an Event ticket
· Access members-only content or platforms
· Participate in any Consulting Club–organized activity
By clicking “I agree,” completing registration,purchasing a ticket, or otherwise using our Services, you:
1. Acknowledge that you have read, understood, and accept these Terms in full.
2. Agree to comply with all applicable policies referenced herein, including our Privacy Policy.
3. Consent to receive communications from us (e.g., confirmations, updates, newsletters) in accordance with these Terms.
If you do not agree to these Terms, you must not access or use our Services. We reserve the right to refuse membership, cancel tickets, or deny access to any event or content if you violate these Terms.
Changes to These Terms
We may update these Terms at any time to reflect changes in our Services or legal requirements. When we do, we will publish the revised Terms on our website with a new “Last updated” date. If you continue to use our Services after a revision becomes effective, you will be deemed to have accepted the updated Terms.
For the purposes of these Terms, the following capitalized words have the meanings set out below:
“Agreement”These Terms of Service, together with any incorporated policies (e.g. Privacy Policy), and all amendments or supplements thereto.
“Services”All offerings provided by the Consulting Club, including but not limited to: the website (consultingclub.ch), online platforms, membership benefits, events, workshops, seminars, and other activities.
“ConsultingClub,” “we,” “us,” or “our”The Students’ Consulting Club at the University of St. Gallen, a student organization located at Dufourstrasse 50, CH-9000 St. Gallen, Switzerland.
“Member”An individual whose Membership has been activated following payment of the applicable fee and who is in good standing under these Terms and Club statutes.
“Participant”A Member or guest who registers for, attends, or otherwise takes part in an Event.
“Membership”The status and associated rights granted to a Member upon payment of the prescribed fee, entitling them to access certain Services (including events, content, and networking opportunities).
“Event”Any in-person or virtual gathering organized, co-organized, or endorsed by the Consulting Club, including conferences, panels, workshops, socials, and networking sessions.
“Ticket”A paid or complimentary entitlement—whether digital or physical—that authorizes a Participant to attend a specific Event.
“Point”A demerit assigned under the Attendance Policy for late cancellations or no-shows, which may lead to suspension of Event-booking privileges.
“Board”The elected governing body of the Consulting Club (as defined in the Club’s statutes), responsible for oversight ofpolicies, approvals, and dispute resolutions.
“Venue”The physical location or virtual environment (e.g. Zoom, Teams) specified in the Event description where the Event is held.
“Content”All materials provided by the Consulting Club or its members in connection with the Services, including presentations, handouts, recordings, and digital resources.
“Intellectual Property”All copyrights, trademarks, service marks, trade names, logos, designs, know-how, and other proprietary rights throughout the world in any content or materials provided by the Consulting Club.
“Personal Data”Any information relating to an identified or identifiable natural person, as defined under applicable data-protection laws.
These Definitions apply throughout the Agreement.Any term not defined herein has the meaning given in the statutes of the Consulting Club or, if none, its ordinary meaning in Swiss law.
We currently offer the following Membership tiers.Additional tiers may be introduced by the Board and published on our website:
· Lifetime Membership– One-time fee of CHF 50 (as per Club statutes).– Unlimited access to all standard Consulting Club events and online resources.– Acceptance to events is decided by the company hosting the event or the Consulting Club.
· Free Membership– Access to the Consulting Days Events only.
· Other Tiers:– May be introduced by the Board; fees and benefits will be published on our website.
· Membership is open to current students and alumni of the University of St. Gallen.
· Non-HSG students or external guests may participate only upon Board approval.
· All applicants must provide accurate personal details during registration; falsification may lead to immediate termination of Membership and event privileges.
· Activation–Lifetime Membership begins on the date of successful payment.– Free Membership is activated upon successful registration on the website
· Duration–Lifetime Membership does not expire, but may be modified by the Consulting Club’s Board at all times and with 30 day notice. Members who do not accept such modifications may terminate their Membership and request a refund of the original fee.– Free Membership does not expire, but may be modified by the Consulting Club’s Board at all times and without notice.
Members in good standing may:
1. Register for Consulting Club–exclusive Events (subject to capacity AND acceptance).
2. Access members-only content and recordings on our website.
3. Network with peers, corporate partners, and alumni through official channels.
4. Vote in Club elections and stand for Board positions (lifetime members only).
1. Create an Account on consultingclub.ch with your valid University credentials or approved email address.
2. Select Membership Tier and complete payment.
3. Receive Confirmation via email, including your digital membership credential or ticket.
4. Register for Events through your dashboard; seating is allocated on a first-come, first-served basis.
· Memberships and Event Tickets are personal.
· Transferring, reselling, or gifting access rights is strictly prohibited.
· Violations may result in immediate revocation of all Membership and Event privileges without refund.
· Membership may be suspended or terminated for:
o Violation of these Terms or the Code of Conduct (Section 7).
o Accumulation of two Points under the Attendance Policy (Section 6).
· Upon suspension, Members forfeit all event-booking rights until reinstatement.
· Termination is permanent; reapplying requires Board approval and payment of a newMembership fee.
· All fees for Memberships and Event Tickets are published clearly on our website or within each Event’s description.
· All prices are quoted in Swiss francs (CHF) and are inclusive of any applicablevalue-added tax (VAT) or other governmental levies, unless otherwise specified.
· We reserve the right to adjust prices at any time; however, any price change will notaffect fees already paid for confirmed Memberships or Tickets.
· We currently accept the following payment methods:

o Credit card
o TWINT
· We may, at our sole discretion, add, remove, or suspend payment options without priornotice. You have no entitlement to any specific method.
· Due Date: Full payment is due immediately upon checkout.
· Invoicing: We do not issue invoices or allow deferred payment.
· Secure Processing: All transactionsare processed through secure, PCI-compliant payment gateways.
· Your Membership activation or Event reservation is confirmed only after successfulreceipt of payment.
· Upon confirmation, we will send you an email containing:
·
1. A digital membership credential or Event Ticket;
2. Details of the purchased tier or Event, including date, time, and Venue; and
3. A summary of these Terms, with links to relevant policies.
· If payment fails or is reversed (e.g., chargeback), we reserve the right to cancel yourMembership or Ticket without further notice.
Members acknowledge and agree that any costs not explicitly included in their Membership fee or Event Ticket price are their sole responsibility. Such expenses include, but are not limited to:
5.1 Travel & Accommodation– All transportation to and from Events (e.g., train, flight, ride-sharing)– Lodging, hotel bookings, and related incidentals
5.2 Meals & Incidentals– Food and beverages not provided by the Consulting Club– Gratuities and any personal expenditures during Events (e.g., souvenirs, snacks)
5.3 External Materials & Services– Fees charged by third-party platforms used for registration or ticketing (e.g., Eventbrite surcharges)– Study materials, textbooks, software licenses, or equipment rental unless expressly included in an Event description
5.4 Insurance– Any health, travel, or liability insurance required for participation in an Event
All such expenses are non-refundable by the Consulting Club. Members are encouraged to plan and budget accordingly.
· You may request a refund of your Membership fee within seven (7) days of purchase(“Cooling-Off Period”).
· To request a refund, send a written notice—including your name, membership tier, and date of purchase—to [email protected].
· All refund requests require Board approval. If approved, refunds will be issued via theoriginal payment method within thirty (30) days, less any non-recoverable transaction fees.
· Free Cancellation: You may cancelyour registration up to seventy-two (72) hours before the Event start timewithout penalty.
· Late Cancellation: Cancellations made fewer than 72 hours before Event start incur a one-Point penalty.
· No-Show: Failing to attend without prior notice results in a two-Point penalty.
· To cancel, you must either:
1. Use the “My Events” dashboard on our website; or
2. Send a written cancellation request (including your name and Event title) to [email protected].
· Only cancellations submitted before the Free Cancellation deadline qualify for a refund if the it is a paying event.
· If the Consulting Club cancels or materially reschedules an Event, Participants will be entitled to a full refund of any paid Ticket fees.
· Approved refunds will be processed to your original payment method within thirty (30)days, minus any non-recoverable fees (e.g., payment-gateway charges).
· Points accrue under the Attendance Policy (Section 6).
· Accumulating two (2) Points triggers automatic suspension from all Club Events for six (6)months.
· Points expire twelve (12) months after the date they are assigned.
· You may appeal a Point assignment—see Section 6.4 for the appeals process.
Our Attendance Policy promotes fairness andreliability for all Participants and our corporate partners by discouraginglast-minute cancellations and empty seats.
· Late Cancellation (< 72 hours before Event start): 1 Point
· No-Show (noattendance, no cancellation): 2Points
· Upon accruing 2 Points,your ability to register for any Consulting Club Event will be suspended for six (6) months.
· Pointsautomatically expire twelve(12) months after the datethey are assigned, restoring your clean slate.
· If youbelieve a Point was assigned in error or due to extraordinary circumstances,you may submit an appeal in writing to the Board at [email protected] within seven (7) days ofthe Event.
· Appeals mustinclude supporting documentation (e.g., medical note, travel disruption).
· The Boardwill review appeals at its sole discretion and may revoke the Point if it deemsthe circumstances valid.
This Code of Conduct applies to all Members,Participants, Guests, volunteers, staff, and Board members (“Participants”) atany Consulting Club–organized or co-organized Event, whether in person oronline.
Participants are expected to:
· ActProfessionally & Respectfully: Communicatecourteously, listen actively, and value diverse perspectives.
· UpholdIntegrity: Honor commitments(e.g., attendance, punctuality), represent the Club positively, and safeguardconfidential information shared in closed sessions.
· FosterInclusion: Create anenvironment free from discrimination, welcoming to all backgrounds, identities,and experience levels.
· Comply withVenue & Safety Rules: Adhereto all posted regulations, capacity limits, emergency procedures, and anyhealth or safety guidelines (e.g., fire exits, COVID-19 protocols).
The following conduct will not be tolerated:
· Harassment& Hate Speech: Anyunwelcome conduct—verbal, written, physical, or digital—that creates a hostileenvironment on the basis of race, gender, sexual orientation, religion, age,disability, or any protected characteristic.
· DisruptiveActs: Interrupting sessions,threatening speakers or Participants, unauthorized recording of privatediscussions, or any behavior that interferes with the Event.
· SubstanceMisuse: Bringing,distributing, or using illegal drugs; excessive intoxication that endangersoneself or others.
· PropertyDamage & Theft: Vandalism,unauthorized removal of Club or Venue property, or misuse of equipment.
· Non-Compliance: Failure to follow reasonable instructionsfrom Club staff, volunteers, or Venue security.
Violations are handled at the Board’s discretion and may include:
1. Verbal Warning: For minor or first-time infractions.
2. Removal from Event: Immediate expulsion without refund, with or without prior warning.
3. Point Assignment: Additional Points under the Attendance Policy (Section 6).
4. Temporary Suspension: Loss of event-booking privileges for a specified period.
5. Permanent Ban: Revocation of Membership and lifetime exclusion from all Events.
6. University involvement: Communication to the University’ competent body of the individual’s information for further investigations.
All sanctions are documented in writing and communicated to the Participant via email.
· If you witness or experience a breach of this Code, please report it promptly to any Consulting Club Board member or via email to [email protected].
· Reports are treated confidentially to the extent possible. Retaliation against anyone whoreports in good faith is prohibited and itself constitutes a breach of this Code.
8.1 Ownership of MaterialsAll materials provided by the Consulting Club—whether in print, digital, audio, video, or any other format—including but not limited to presentations, handouts, recordings, logos, trademarks, service marks, designs, software, and course content (collectively, “Club Materials”), are the exclusive property of the Consulting Club or its licensors. All rights not expressly granted herein are reserved.
8.2 License to MembersSubject to your compliance with these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to access and use Club Materials solely for your private, non-commercial participation in Consulting Club Events and activities. This license does not permityou to sublicense, rent, lend, or commercially exploit the Club Materials in any way.
8.3 RestrictionsUnless you have obtained our prior written permission, you must not, and must not permit others to:
· Reproduce, copy, modify, adapt, translate, or create derivative works of Club Materials.
· Distribute, publicly display, perform, or publish Club Materials, in whole or in part.
· Remove, alter, or obscure any copyright, trademark, or other proprietary notices onClub Materials.
· Bypass or circumvent any access controls or digital rights management that we employ.
Requests for permission to use Club Materials beyond the scope of this license should be sent to [email protected]. Unauthorized use may result in legal action and immediate termination of your Membership and event privileges.
9.1 Standard of CareWe will perform our obligations under these Terms with reasonable care, skill, and in good faith, consistent with prevailing professional standards for student organizations. However, we do not warrant or guarantee any specific educational, networking, or career outcomes.
9.2 Limitation of LiabilityTo the fullest extent permitted under Swiss law:
· Exclusion of Simple Negligence: We shall not be liable for damages arising from simple (leichte) negligence, except in cases of personal injury or death.
· No Indirect or Consequential Damages: We disclaim liability for any indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of profits, revenue, data, or goodwill.
· Liability Cap: Our aggregate liability for any claim arising under or related to these Terms shall not exceed the total fees actually paid by you for the specific Membership or Event giving rise to the claim.
9.3 Force MajeureWe shall not be liable for any delay or failure to perform our obligations under these Terms if such delay or failure is caused by events beyond our reasonable control, including but not limited to: natural disasters, acts of God, war, civil unrest, strikes, pandemics, government actions, or failure of third-party service providers. In the event of a force majeure event, we will endeavor to notify affected Members and Participants as soon as practicable and reschedule or refund services as appropriate.
10.1 Indemnification by MemberYou agree to indemnify, defend, and hold harmless the Consulting Club, its officers, directors, employees, volunteers, agents, and affiliates (collectively, “Indemnitees”) from and against any and all claims, demands, causes of action, liabilities, losses, damages, judgments, awards, expenses, or costs (including reasonable attorneys’ fees and court costs) arising out of or relating to:
1. Your Breach: Any breach of these Terms or any additional policies incorporated herein.
2. Your Conduct: Your negligent, reckless, or willful acts or omissions in connection with any Service or Event.
3. Third-Party Claims: Any claim by a third party arising from your misuse of Club Materials, infringement of intellectual property rights, or violation of applicable law.
10.2 Indemnification Procedures
· Notice: The Consulting Club will promptly notify you in writing of any claim for which indemnification is sought.
· Defense: You may assume control of the defense and settlement of the claim, provided that you obtain the Consulting Club’s prior written consent for any settlement that imposes liability or obligation on the Club.
· Cooperation: You agree to cooperate fully with the Consulting Club in the defense of any claim and to provide such information and assistance as reasonably requested.
10.3 SurvivalThis indemnification obligation shall survive termination or expiration of your Membership and these Terms.
11.1 Data ControllerThe Students’ Consulting Club at the University of St. Gallen (Dufourstrasse 50, CH-9000 St. Gallen, email: [email protected]) acts as the data controller for all personal data collected in connection with your Membership, Event registration, and use of our Services.
11.2Scope of ProcessingWe collect and process the followingcategories of Personal Data:
· Identification& Contact Data: Name,university affiliation, email address, phone number.
· Membership& Event Data: Membershiptier, ticket purchases, attendance history, Points balance.
· TechnicalData: IP address, browsertype, device information, and cookies, to operate and secure our website.
· PaymentData: Transaction detailsprocessed via third-party payment providers (we do not store full payment carddetails).
11.3Purposes & Legal BasesWe process your Personal Data in order to:
1. Administer yourMembership and Event registrations (Art. 6(1)(b) GDPR; performance of contract).
2. Communicate updates,confirmations, and important notices (Art. 6(1)(a), your consent, or (f), ourlegitimate interest in service delivery).
3. Maintain security,prevent fraud, and enforce our Terms, including the Attendance Policy (Art.6(1)(f) GDPR; legitimate interests).
4. Comply with legalobligations under Swiss law and, where applicable, EU law (Art. 6(1)(c) GDPR).
11.4Data Subject RightsUnder the Swiss Federal Act on DataProtection (FADP/nFADP) and the EU General Data Protection Regulation (GDPR),you have the right to:
· Access your personal data and obtain a copy.
· Rectify inaccurate or incomplete data.
· Erase data where processing is no longer necessaryor you withdraw consent.
· Restrict or object to processingon grounds relating to your particular situation.
· Portability of data provided by you in a structured,commonly used format.
· Lodge a complaint witha supervisory authority (e.g., the Swiss Federal Data Protection andInformation Commissioner).

By continuing to use our Services, you acknowledgethat you have read and understood our Privacy Policy and consent to theprocessing activities described therein.
12.1Integration & LinksOur Services may include integrations,embeds, or links to third-party platforms and tools—such as payment gateways,ticketing providers, video-conferencing solutions, map services, social-mediaplugins, and analytics services (collectively, “Third-Party Services”).
12.2Separate Terms & PoliciesYour use of any Third-Party Service isgoverned solely by that provider’s terms of service, privacy policy, and otherapplicable agreements. We have no control over—and assume no responsibilityfor—the content, privacy practices, or performance of any Third-Party Service.
· We may sharecertain information (e.g., your name, email, purchase details) with Third-PartyServices when necessary to deliver the Services you request (e.g., to process apayment or register you for an event).
· Any data youprovide directly to a Third-Party Service (for example, during checkout on apayment processor’s page) is subject to that provider’s privacy policy.
· We disclaimall liability arising from your interaction with, or reliance upon, Third-PartyServices, including any errors, interruptions, loss of data, or unauthorizedaccess to your information.
· Before usinga Third-Party Service, please review its terms and privacy policy to ensure youunderstand and agree to its rules and practices.
· If you do notagree to a provider’s terms, you should not use that Third-Party Service, andyou may instead contact us to explore alternative arrangements where available.
12.5Changes to IntegrationsWe may add, modify, or remove Third-PartyService integrations at any time without notice. Any changes do not affect yourobligations under these Terms with respect to use of Third-Party Services.
13.1Right to AmendWe reserve the right to modify, supplement,or replace these Terms at any time, in whole or in part, at our sole discretion.
13.2Notice of Changes
· MaterialChanges: If we make materialchanges that affect your rights or obligations, we will notify you at least fourteen (14) days before the changes take effect by sending an email to theaddress you provided or by posting a prominent notice on our website.
· Non-MaterialChanges: Minor edits (e.g.,clarifications, formatting, typographical corrections) may be effectiveimmediately upon posting.
13.3Effective Date & Continued Use
· Each revisedversion of these Terms will be identified by an updated “Last updated” date atthe top.
· Yourcontinued use of our Services after the effective date of any revised Termsconstitutes your acceptance of and agreement to be bound by the new Terms.
13.4Right to DeclineIf you do not agree to any modification, youmust cease using the affected Services and may terminate your Membership inaccordance with Section 5.1 (Membership Refunds).
14.1Governing LawThese Terms and any claims or disputesarising out of or relating to them, the Services, or your participation in anyEvent shall be governed exclusively by the substantive laws of Switzerland,excluding its conflict-of-law rules.
14.2Amicable ResolutionIn the event of any disagreement or dispute,the parties agree to first seek a mutually acceptable resolution throughgood-faith negotiations. Either party may propose discussions in writing to theother, and both will cooperate to resolve the matter within thirty (30) days ofsuch notice.
14.3MediationIf the dispute cannot be resolved throughnegotiation within thirty (30) days, the parties agree to submit the dispute tonon-binding mediation before a neutral mediator appointed by mutual agreement.Each party will bear its own costs of mediation, and the cost of the mediatorwill be shared equally.
14.4JurisdictionIf the dispute remains unresolved aftermediation (or if mediation is declined by either party), the parties consent tothe exclusive jurisdiction of the courts of St. Gallen, Switzerland. Mandatoryconsumer protection jurisdictions remain unaffected. You and the ConsultingClub waive any objections to venue or inconvenient forum.
15.1 SeverabilityIf any provision of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable in any respect, that provision shall be deemed modified to theminimum extent necessary to render it valid and enforceable—or, if modification is not possible, fully severed—without affecting the validity, legality, orenforceability of the remaining provisions.
15.2 Entire AgreementThese Terms, together with any incorporated policies (including the Privacy Policy, Code of Conduct, and Statutes), constitute the entire agreement between you and the Consulting Club concerning the subject matter herein and supersede all prior proposals, negotiations, understandings, or agreements, whether written or oral, relating to the same.

We aim to respond to all inquiries within 14 days. If you remain unsatisfied aftercontacting us, you retain the right to lodge a complaint with the competent data-protection authority or pursue other legal remedies as outlined in Section 11.
